1. Party E shall pay Party A, Party B, Party C and Party D the deposit RMB_____ in total from the date of effectiveness hereof. The deposit in question shall be paid by Party E, and shall be collected by either of, two of, three of, or all of the four parties:Party A, Party B, Party C and Party D.
2. The agreement for 100% share transfer of Suzhou Kaifu Electronic Co., Ltd shall be made and entered into by and between the Transferors (Party A, Party B, Party C and Party D) and the Transferee (Party E) within _____ days after Party E pays Party A, Party B, Party C and Party D deposit RMB______ from the date of effectiveness of this Agreement.
3. Where Party E fails to pay off the deposit under this Agreement, Party E is liable for a penalty of 0.1% of the unpaid amount hereof for everyday overe. Where the deposit payment is default for 10 or more days, Party A, Party B, Party C, Party D are entitled to terminate this Agreement, and the deposit paid by Party E will not be refunded.
4.Where Party A, Party B, Party C and Party D fail to make and enter into the agreement for share transfer in time with Party E after Party E pays Party A, Party B, Party C, Party D the deposit RMB______, the deposit collected shall be refunded to Party E in double; Where Party E fails to make and enter into the agreement for share transfer in time with Party A, Party B, Party C, Party D, the paid deposit will not be refunded to Party E by Party A, Party B, Party C and Party D.
5. This Agreement is governed by the laws of the People's Republic of China. All disputes arising from the implementation and enforcement of, or in connection with, this Agreement , shall be settled amicably through friendly negotiation; in case no settlement could be reached through friendly negotiation, either of the parties is entitled to file a lawsuit to the people』s court at the place where the agreement is made and entered into.
