(12)索賠：在貨到目的口岸45天內如發現貨物品質，規格和數量與合同不附，除屬保險公司或船方責任外，買方有權憑中國商檢出具的檢驗證書或有關文件向賣方索賠換貨或賠款。
claims:
within 45 days after the arrival of the goods at the destination, should the quality, specifications or quantity be found not in conformity with the stipulations of the contract except those claims for which the insurance company or the owners of the vessel are liable, the buyers shall, have the right on the strength of the inspection certificate issued by the c.c.i.c and the relative documents to claim for compensation to the sellers
(13)不可抗力：由於人力不可抗力的原由發生在製造，裝載或運輸的過程中導致賣方延期交貨或不能交貨者，賣方可免除責任,在不可抗力發生後，賣方須立即電告買方及在14天內以空郵方式向買方提供事故發生的證明文件，在上述情況下，賣方仍須負責採取措施盡快發貨。
Force majeure:
the sellers shall not be held responsible for the delay in shipment or non-deli-very of the goods e to force majeure, which might occur ring the process of manufacturing or in the course of loading or transit. the sellers shall advise the buyers immediately of the occurrence mentioned above the within fourteen days there after . the sellers shall send by airmail to the buyers for their acceptancea certificate of the accident. under such circumstances the sellers, however, are still under the obligation to take all necessary measures to hasten the deliveryof the goods.
(14）仲裁：凡有關執行合同所發生的一切爭議應通過友好協商解決，如協商不能解決，則將分歧提交中國國際貿易促進委員會按有關仲裁程序進行仲裁，仲裁將是終局的，雙方均受其約束，仲裁費用由敗訴方承擔。
arbitration :
all disputes in connection with the execution of this contract shall be settled friendly through negotiation. in case no settlement can be reached, the case then may be submitted for arbitration to the arbitration commission of the china council for the promotion of international trade in accordance with the provisional rules of procere promulgated by the said arbitration commission . the arbitration committee shall be final and binding upon both parties. and the arbitration fee shall be borne by the losing parties.

甲、乙雙方本著友好協商、互惠互利的原則，根據《中華人民共和國合同法》、《中華人民共和國計算機信息網路國際互聯網管理暫行規定》等有關條例，友好簽訂本合同，雙方共同信守執行。
一、服務內容：

二、付款期限及方式：
1、甲方須在本合同簽訂之日起按照約定向乙方繳付相關費用，並且將款項匯入指定的銀行帳號。
2、甲方向乙方支付合同額50%的網站預付費用，作為製作定金，餘款在甲方驗收合格正式發布時結清。
3、付款方式請向易網公司的業務專員索取或登錄我們的網站查查詢。
三、雙方的權利和義務：
1、甲方須按本合同的規定向乙方按約定日期支付全部應付款項；
2、甲方就如實填寫並向乙方提供企業資料，並確保所提供資料的合法性與真實性，乙方在收到甲方交納全部（預付）費用後，及時向甲方提供相關商務應用服務和其它服務；
3、乙方在完善上述服務內容時，無須另行通知甲方；
4、乙方須嚴格按雙方的協議和雙方的協商來完成甲方的相關互聯網服務要求。
5、乙方可根據甲方的相關要求作靈活的服務變動，以更適應甲方對網站製作等相關網路需求的變化。
6、可以根據甲方的要求幫助甲方免費舉辦培訓和技術咨詢，具體的操作方式雙方另行簽署協議確認。
四、違約責任：
1、乙方如違反本合同有關規定，甲方有權停止向其支付相關應付款項；
2、甲方在乙方為其完成服務項目後，逾期未將未付款付給乙方，經乙方催討仍未將款付清，超過付款時間十五天，乙方有權停止為甲方提供服務，並撤消為甲方在網路上的服務。
同時甲方一切已付費用將不獲返還；
3、任何一方由於不可抗力的因素，致使合同無法履行時，經雙方協商，可以變更或解除合同，並免除承擔違約責任。
五、合同的終止：
甲乙雙方有一方違反其在本合同中所作出的聲明及保證或有其它違約行為，致使不能實現本合同目的，另一方有權單方解除本合同；如因不可抗力導致乙方向甲方提供的相應服務無法實現，甲乙雙方經協商確認後可以解除本合同。
六、法律適用及爭議的解決：
合同的訂立、效力、解釋就履行均受中華人民共和國法律保護和管轄。如甲乙雙方執行本合同過程中發生任何爭議或糾紛，雙方應通過友好協商解決，如協商不成，可向當地仲裁委員會申請仲裁。
七、如有具體實施解決方案細節和雙方協商的其它文件，將作為本合同附件，附件為本合同不可分割的一部分。
八、本合同一式二份，甲乙雙方各執一份，具有同等法律效力。（包括附件內容）本合同有效期限從年月日到年月日。自簽訂之日起正式生效。

一般公司是把點差和傭金算一起的，
開戶的時候你應該跟他們問清楚哦。
