(12)索赔：在货到目的口岸45天内如发现货物品质，规格和数量与合同不附，除属保险公司或船方责任外，买方有权凭中国商检出具的检验证书或有关文件向卖方索赔换货或赔款。
claims:
within 45 days after the arrival of the goods at the destination, should the quality, specifications or quantity be found not in conformity with the stipulations of the contract except those claims for which the insurance company or the owners of the vessel are liable, the buyers shall, have the right on the strength of the inspection certificate issued by the c.c.i.c and the relative documents to claim for compensation to the sellers
(13)不可抗力：由于人力不可抗力的原由发生在制造，装载或运输的过程中导致卖方延期交货或不能交货者，卖方可免除责任,在不可抗力发生后，卖方须立即电告买方及在14天内以空邮方式向买方提供事故发生的证明文件，在上述情况下，卖方仍须负责采取措施尽快发货。
Force majeure:
the sellers shall not be held responsible for the delay in shipment or non-deli-very of the goods e to force majeure, which might occur ring the process of manufacturing or in the course of loading or transit. the sellers shall advise the buyers immediately of the occurrence mentioned above the within fourteen days there after . the sellers shall send by airmail to the buyers for their acceptancea certificate of the accident. under such circumstances the sellers, however, are still under the obligation to take all necessary measures to hasten the deliveryof the goods.
(14）仲裁：凡有关执行合同所发生的一切争议应通过友好协商解决，如协商不能解决，则将分歧提交中国国际贸易促进委员会按有关仲裁程序进行仲裁，仲裁将是终局的，双方均受其约束，仲裁费用由败诉方承担。
arbitration :
all disputes in connection with the execution of this contract shall be settled friendly through negotiation. in case no settlement can be reached, the case then may be submitted for arbitration to the arbitration commission of the china council for the promotion of international trade in accordance with the provisional rules of procere promulgated by the said arbitration commission . the arbitration committee shall be final and binding upon both parties. and the arbitration fee shall be borne by the losing parties.

甲、乙双方本着友好协商、互惠互利的原则，根据《中华人民共和国合同法》、《中华人民共和国计算机信息网络国际互联网管理暂行规定》等有关条例，友好签订本合同，双方共同信守执行。
一、服务内容：

二、付款期限及方式：
1、甲方须在本合同签订之日起按照约定向乙方缴付相关费用，并且将款项汇入指定的银行帐号。
2、甲方向乙方支付合同额50%的网站预付费用，作为制作定金，余款在甲方验收合格正式发布时结清。
3、付款方式请向易网公司的业务专员索取或登录我们的网站查查询。
三、双方的权利和义务：
1、甲方须按本合同的规定向乙方按约定日期支付全部应付款项；
2、甲方就如实填写并向乙方提供企业资料，并确保所提供资料的合法性与真实性，乙方在收到甲方交纳全部（预付）费用后，及时向甲方提供相关商务应用服务和其它服务；
3、乙方在完善上述服务内容时，无须另行通知甲方；
4、乙方须严格按双方的协议和双方的协商来完成甲方的相关互联网服务要求。
5、乙方可根据甲方的相关要求作灵活的服务变动，以更适应甲方对网站制作等相关网络需求的变化。
6、可以根据甲方的要求帮助甲方免费举办培训和技术咨询，具体的操作方式双方另行签署协议确认。
四、违约责任：
1、乙方如违反本合同有关规定，甲方有权停止向其支付相关应付款项；
2、甲方在乙方为其完成服务项目后，逾期未将未付款付给乙方，经乙方催讨仍未将款付清，超过付款时间十五天，乙方有权停止为甲方提供服务，并撤消为甲方在网络上的服务。
同时甲方一切已付费用将不获返还；
3、任何一方由于不可抗力的因素，致使合同无法履行时，经双方协商，可以变更或解除合同，并免除承担违约责任。
五、合同的终止：
甲乙双方有一方违反其在本合同中所作出的声明及保证或有其它违约行为，致使不能实现本合同目的，另一方有权单方解除本合同；如因不可抗力导致乙方向甲方提供的相应服务无法实现，甲乙双方经协商确认后可以解除本合同。
六、法律适用及争议的解决：
合同的订立、效力、解释就履行均受中华人民共和国法律保护和管辖。如甲乙双方执行本合同过程中发生任何争议或纠纷，双方应通过友好协商解决，如协商不成，可向当地仲裁委员会申请仲裁。
七、如有具体实施解决方案细节和双方协商的其它文件，将作为本合同附件，附件为本合同不可分割的一部分。
八、本合同一式二份，甲乙双方各执一份，具有同等法律效力。（包括附件内容）本合同有效期限从年月日到年月日。自签订之日起正式生效。
