甲、乙雙方遵循自願、平等、公正、誠實信用的原則，協商一致，簽訂融資服務協議如下。
一、甲方委託乙方作為其「________________項目」的融資顧問。
二、甲方責任和義務
1．甲方須及時按照乙方的要求提供該融資項目的詳細資料，包括該項目的商業計劃書或該項目的說明資料，並如實填報有關表格內容，如為復印件，甲方須加蓋章證明。
2．在該協議執行過程中，甲方須盡可能為乙方工作提供必要的支持和便利條件。
3．甲方在接到乙方推薦的合作投資商資料時，須及時給乙方發送一份具有甲方有效簽章的確認函。在未得到乙方書面同意的情況下，甲方不能自行與乙方推薦的合作投資商洽談合作事宜。
4．融資成功後服務費的支付方式：甲方須在第一筆融資資金到帳七天內一次性向乙方支付全部融資服務費。
5．從協議簽署當天起十個月內，未經過乙方的書面同意，甲方不得與乙方推薦的意向合作商簽定任何協議，否則甲方必須向乙方支付全額或部分融資服務費（不少於50%）。
三、乙方責任和義務
1．乙方按甲方的融資要求推薦投資合作商。
2．乙方協助甲方撰寫相關商業計劃書。
3．乙方不經甲方書面同意，不得向任何第三方泄露甲方定為機密級的商業情報。
四、融資服務費用
本協議項下融資服務費用為人民幣________元，在第一筆融資資金到帳七日內一次性支付完畢。
五、其他條款
1．本協議一式兩份，雙方各執一份，簽字之日起生效。
2．因本合同引起的或與本合同有關的任何爭議，由廣州仲裁委員會仲裁解決。

Second, responsibility and obligation of Party A
1.
